Pro Forma Invoice in Canada: When to Use One
Learn when to use a pro forma invoice in Canada, how it differs from a quote and final tax invoice, what to include, and how to convert it cleanly.
Lire cette page en françaisA pro forma invoice is a preliminary commercial document showing what a future transaction is expected to look like. It can help with client approval, purchasing, financing, or cross-border paperwork, but it should not be confused with the final invoice that records the actual amount payable after the supply or billing event occurs.
For ordinary Canadian service work, a clearly labelled estimate or quote is usually easier for clients to understand. Use a pro forma document when the client, procurement process, or international transaction specifically expects one. Just Invoice creates estimates and invoices; it does not turn a preliminary document into a tax filing record.
Pro forma, quote, estimate, and final invoice
Labels do not replace the underlying agreement. A document called 'pro forma' should clearly state that it is not the final tax invoice and does not create a second amount owing when the final bill is issued.
| Document | Main purpose | Payment request |
|---|---|---|
| Estimate | Approximate scope and price that may change | No |
| Quote or proposal | Offer with scope, price, and validity terms | Usually no |
| Pro forma invoice | Preliminary transaction-style document | No, unless the agreement separately requires a deposit |
| Final invoice | Records the amount actually billed and due | Yes |
What to include
- The words 'Pro Forma Invoice' and a clear preliminary-document notice.
- Supplier and prospective client details.
- Issue date, validity date, and reference number distinct from final invoice numbering when practical.
- Expected goods or services, quantities, price, currency, delivery assumptions, and payment terms.
- Estimated tax treatment labelled as subject to confirmation.
- A statement explaining how acceptance, deposit, or final invoicing will occur.
Worked service example
A Canadian consultant preparing for an international engagement may issue a pro forma document so the client's procurement team can open a purchase order. The document can show an expected USD project fee, target start date, and preliminary tax note. Once the client approves the work and the contractual billing event occurs, issue a final invoice with its own invoice number and confirmed facts.
For domestic work, Quote Template Canada | Scope, Taxes & PDF Invoice Follow-Up | Just Invoice may be the more natural starting point. For a foreign client, review How to Invoice International Clients from Canada before writing a zero-rated note, because exported-service treatment depends on the actual facts and exceptions.
Deposits and payment
Do not present the pro forma total as both preliminary and immediately payable without explaining the arrangement. If a deposit is required, the accepted quote or contract should establish it, and a deposit invoice can request the actual payment. Link the deposit invoice to the project reference instead of marking the pro forma as paid.
Use Deposit Invoice Guide Canada | Just Invoice for the payment document. When the job is complete, Invoice for Work Completed Canada: Final Invoice Example shows how to reconcile deposits, changes, and the final balance.
Taxes and numbering
A preliminary estimate of GST/HST/QST is not a substitute for applying the correct tax when the final invoice is issued. Confirm registration, place of supply, the nature of the transaction, and the taxable amount at that time. Avoid issuing a final tax invoice number and then reusing it on a different document.
Use a visible format such as PF-2026-004 for pro forma documents and INV-2026-041 for final invoices. The exact prefix is a business choice; consistency and a traceable conversion from preliminary to final matter more than a particular code.
Conversion checklist
- Confirm the client accepted the scope and commercial terms.
- Replace estimates with actual quantities, dates, and approved changes.
- Assign a final invoice number without overwriting the preliminary record.
- Recalculate tax from the confirmed transaction.
- Reference any deposit invoice and payment once, not twice.
- Send the final PDF with the amount and due date in the email.
Is a pro forma invoice a request for payment?
R: Normally it is preliminary. If a deposit is contractually due, use a clear deposit invoice or payment request tied to the agreement.
Is a pro forma invoice the same as a quote?
R: They overlap, but a pro forma document usually resembles the future transaction invoice while a quote emphasizes the offer, scope, and validity period.
Should it have GST/HST?
R: It may show an estimate, clearly labelled. Confirm and calculate the applicable tax on the actual final invoice.
Can I reuse its number for the final invoice?
R: Separate numbering is clearer. Keep a reference between the documents so the audit trail remains understandable.
