Terms of Service and Privacy Policy

Terms of Service

Just Invoice is a product owned and operated by HUPP Software, the parent company of Just Invoice. By accessing or using the Just Invoice service (the “Service”), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use the Service.

Use of the Service

You must be at least 18 years old to use Just Invoice. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

You agree to use the Service only for lawful purposes and in accordance with these terms. You may not misuse the Service, attempt to gain unauthorized access, interfere with its operation, or use it in a way that could harm Just Invoice, other users, or third parties.

Subscriptions and Payments

Just Invoice offers both free and paid subscription plans. Paid subscriptions are processed by our third-party payment provider, Stripe. All prices are listed in Canadian dollars (CAD) and may be subject to applicable federal or provincial taxes.

Subscriptions are billed in advance for each billing period. If you cancel your subscription, you will retain access to paid features until the end of your current billing period. We do not provide refunds for partial billing periods unless required by law.

Stripe Connect and Funds Responsibility

For the avoidance of doubt, Just Invoice and HUPP Software do not receive, hold, store, custody, control, transmit, or manage your customer payment funds. Payment processing is performed by Stripe under Stripe Connect.

You agree that Stripe is solely responsible for payment processing and fund handling, including authorization, capture, settlement, payout timing, payout failures, reserves, rolling reserves, account reviews, compliance checks, risk controls, disputes, chargebacks, refunds, reversals, held funds, delayed funds, and frozen balances.

Just Invoice and HUPP Software are not a bank, money transmitter, payment institution, or custodian. We are not liable for any loss, claim, delay, interruption, withholding, reserve, freeze, seizure, offset, deduction, or unavailability of funds occurring within Stripe or resulting from Stripe policies, Stripe systems, Stripe decisions, network rules, or legal and regulatory requirements applied by Stripe or applicable authorities.

Your Data and Content

You retain full ownership of all data, content, and information you submit to the Service, including invoice data and customer information. By using Just Invoice, you grant us a limited permission to store, process, and display this data solely for the purpose of operating and providing the Service.

We do not claim ownership over your business data and will not use it for purposes unrelated to providing Just Invoice.

Availability and Disclaimer

The Service is provided on an “as is” and “as available” basis. While we make reasonable efforts to keep Just Invoice reliable, secure, and accurate, we do not guarantee that the Service will be uninterrupted, error-free, or free of bugs.

Just Invoice and HUPP Software make no warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by applicable law, Just Invoice and HUPP Software shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

Without limiting the foregoing, Just Invoice and HUPP Software disclaim all liability for any funds processed through Stripe Connect, including cases where Stripe holds funds, delays payouts, imposes reserves, freezes balances, or otherwise restricts access to funds.

Our total liability for any claim related to the Service shall not exceed the amount you paid to use the Service during the twelve (12) months preceding the claim.

We may update these Terms of Service from time to time. When we do, we will update the effective date at the top of this page. Continued use of the Service after changes take effect constitutes acceptance of the updated terms.

Privacy Policy

Your privacy matters to us. This Privacy Policy explains how we collect, use, and protect your information when you use Just Invoice.

Information We Collect

We collect information that you provide directly to us, such as your name, email address, business details, and invoice data. We also collect limited technical and usage information necessary to operate and maintain the Service, such as login activity and basic application usage data.

We do not collect unnecessary personal information and do not use tracking for advertising purposes.

How We Use Your Information

  • Provide, operate, and maintain the Service
  • Process subscriptions and payments
  • Communicate with you about your account and the Service
  • Improve and secure Just Invoice

We do not use your data for marketing purposes outside of Just Invoice, and we do not sell your information.

Data Sharing

We only share your information with trusted third-party service providers that are necessary to operate the Service. This includes providers such as Stripe for payment processing. These providers are only given access to the information required to perform their services.

We do not sell or rent your data to third parties.

Data Security

We take reasonable technical and organizational measures to protect your information against unauthorized access, loss, or misuse. However, no system can be completely secure, and we cannot guarantee absolute security.

We take reasonable measures to ensure that personal information is protected throughout its lifecycle, including during storage, use, and deletion.

Data Retention

We retain your information for as long as your account remains active or as necessary to provide the Service and comply with legal obligations. If you close your account, we will retain or delete your data in accordance with applicable laws and operational requirements.

Your Rights

You may request access to, correction of, or deletion of your personal data by contacting us. We will respond to such requests in accordance with applicable privacy laws.

Quebec Privacy Rights (Law 25)

If you are a resident of Quebec, your personal information is protected under Quebec’s Act respecting the protection of personal information in the private sector, as amended by Law 25.

  • Request correction of inaccurate, incomplete, or outdated information
  • Request deletion of your personal information, subject to legal and contractual retention requirements

We collect only the personal information necessary to provide the Service and use it solely for the purposes described in this Privacy Policy. Personal information is retained only for as long as necessary to fulfill those purposes or to comply with applicable legal obligations.
